Terms of Service
Last updated: 5 September 2026
1. Introduction and Acceptance
These Terms of Service ("Terms") are a legal agreement between you (the "Customer," "you," or "your" — the electrical business, or the individual signing up on its behalf) and Josh Deniz (ABN 62 477 607 861) of Suite 17, 89-97 Jones Street, Ultimo, NSW 2007, trading as "DispatchOS" ("we," "us," or "our"), governing your access to and use of the DispatchOS software-as-a-service platform (the "Service").
By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. You must be at least 18 years old and have authority to bind the business you represent to use the Service.
2. Description of the Service
DispatchOS is a business-management tool built specifically for small electrical contracting businesses. As of the date of these Terms, the Service provides:
- Enquiry capture and triage — collecting enquiries from your customers via web form, phone call, or SMS, and using AI to summarize and prioritize them for you.
- Automated acknowledgment — sending an automatic acknowledgment email to a customer who submits an enquiry.
- AI-drafted follow-up and quote messages — the Service uses AI (OpenAI, with an automatic fallback to Anthropic if needed) to draft follow-up emails/SMS and quotes (priced only from your own real service-catalogue data). These drafts are never sent to your customers automatically — a message is only sent after you explicitly review and approve it.
- Missed-call recovery — forwarding and detecting unanswered calls via Twilio, and drafting an SMS reply for your approval.
- Optional Xero integration — read-only access to your Xero invoice/accounts-receivable data to help you identify overdue payments. We never write data back to your Xero account.
- Optional connected Stripe account — allowing you to generate payment links against your own invoices through your own Stripe account. DispatchOS never holds or processes your customers' payment funds or full card details in this flow; Stripe does.
- Dashboard reporting — a Revenue Recovery view and related figures computed from your own account's real data (enquiries, jobs, and outcomes you and the Service have recorded) — never a fabricated or estimated number presented as real.
This description reflects what the Service actually does as of the date of these Terms, not aspirational or planned functionality. We may add, change, or remove features over time, and will make reasonable efforts to notify active customers of material changes that affect the core functionality described above.
3. Accounts, Subscriptions, and Billing
3.1 Account Registration
You must provide accurate, current information when creating an account, and keep your login credentials confidential. You are responsible for all activity that occurs under your account.
3.2 Free Trial
New accounts receive a 14-day free trial. No payment method charge occurs during the trial. At the end of the trial, if you have added billing details and not cancelled, your subscription will begin and you will be billed as described below. If you do not wish to continue, you may cancel at any time before the trial ends at no cost.
3.3 Subscription Fee
The Standard plan costs AUD $179 per month, billed monthly in advance, with no setup fee. Prices are shown and charged in Australian dollars unless stated otherwise. We may introduce additional plans or change pricing for new subscribers in the future; any price change affecting your existing subscription will be communicated to you in advance with reasonable notice, and will not apply retroactively to a period you've already paid for.
3.4 Payment Processing
Subscription payments are processed by Stripe. By subscribing, you authorize us (via Stripe) to charge your provided payment method on a recurring monthly basis until you cancel. DispatchOS does not store your full card number.
3.5 Cancellation
You may cancel your subscription at any time, self-serve, through the billing portal available in your account. Cancellation takes effect at the end of your current paid billing period unless otherwise stated at the time of cancellation; we do not provide partial-month refunds for early cancellation except as described in Section 3.6 below.
3.6 Money-Back Guarantee
We offer the following guarantee to new paying Standard subscribers: if, within the first 60 days of your paid subscription, the Revenue Recovery figure shown on your DispatchOS dashboard — calculated from your own account's real enquiry and job data — is less than the total subscription fees you have paid to us in that period, you may request a full refund of those fees.
To claim this guarantee:
- You must submit your refund request to josh@dispatchos.com.au within 14 days after the end of your 60-day guarantee window.
- Your account must have been in active, ordinary use during that period (e.g., actually receiving and processing customer enquiries through the Service) — the guarantee is not intended to cover accounts that were never meaningfully used.
- We may ask to review the relevant dashboard figures with you before approving a refund, to confirm the comparison is being made on an apples-to-apples basis.
- This guarantee applies once per business and is available to Standard-plan subscribers on their first paid subscription period. It's specific to the Standard plan described in these Terms — if a different plan is introduced in future, that plan's own terms will state whether an equivalent guarantee applies to it.
3.7 Taxes
DispatchOS is not currently registered for GST. If that changes, GST will be added to your invoice in accordance with Australian tax law and this section will be updated to reflect it.
4. Acceptable Use
You agree not to, and not to permit anyone else to, in connection with the Service:
- Use the Service for any unlawful purpose, or to send content that is fraudulent, harassing, defamatory, or otherwise unlawful to your customers or any third party.
- Resell, sublicense, white-label, or otherwise make the Service available to any third party as if it were your own product, without our prior written consent.
- Attempt to access another business's data, or attempt to probe, scan, bypass, or interfere with our multi-tenant data isolation, authentication, or other security controls.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service, except to the extent such restriction is prohibited by law.
- Introduce malware, conduct unauthorized penetration testing, or otherwise interfere with the integrity or performance of the Service or its infrastructure (Vercel, Supabase, or any other provider we rely on).
- Use the Service to send unsolicited bulk communications (spam) in violation of the Spam Act 2003 (Cth) or equivalent laws applicable to your customers.
- Use automated means to scrape or extract data from the Service outside of features we provide for that purpose.
We may suspend or terminate your access if we reasonably believe you have violated this section, with notice where practicable.
5. Your Responsibility for Content You Approve and Send
This is important, and specific to how DispatchOS works: the Service uses AI to draft communications (acknowledgments, follow-ups, quotes, missed-call replies) on your behalf, but a message is only ever sent to your customer after you personally review and click to approve it (with the sole exception of the automatic initial enquiry acknowledgment email, which is a fixed, non-AI-drafted confirmation that an enquiry was received).
By approving and sending any AI-drafted or Service-generated communication, you are exercising your own judgment and taking responsibility for its content, exactly as if you had written it yourself. This means:
- You are responsible for verifying the accuracy of any pricing, availability, scheduling commitment, or factual claim in a message before you approve it.
- You are responsible for compliance with any laws applicable to your communications with your own customers (e.g., consumer law, electricity/trade licensing advertising rules, the Spam Act).
- DispatchOS is not responsible for the consequences of a message you chose to approve and send, including if it later turns out to be inaccurate, poorly received, or the source of a customer dispute.
- Dollar figures and pricing shown by the Service are drawn from your own account's real data (e.g., your service catalogue, your recorded jobs) — DispatchOS does not fabricate financial figures — but you remain responsible for keeping that underlying data accurate, since AI drafting and reporting are only as accurate as the records you maintain.
6. Intellectual Property
6.1 Our IP
The Service, including its software, design, branding, and underlying technology, is owned by Josh Deniz, trading as DispatchOS, or our licensors, and is protected by copyright and other intellectual property laws. These Terms do not grant you any ownership interest in the Service — only a limited, non-exclusive, non-transferable right to use it for your business's internal operations, subject to these Terms.
6.2 Your Content
You retain ownership of the data you input into the Service and the data collected about your customers through it ("Customer Content"). You grant us a limited license to host, process, and transmit that Customer Content solely as needed to provide the Service to you (including sending it to the third-party providers described in our Privacy Policy for that purpose). We do not claim ownership of your business data or your customers' data. As of the date of these Terms, OpenAI's and Anthropic's API terms state that API inputs and outputs are not used to train their models by default — this is a different policy from their consumer chat products, and applies specifically to the API access DispatchOS uses. We'll keep this statement current if either provider's terms change.
7. Third-Party Services
The Service relies on third-party providers described in our Privacy Policy (Supabase, Vercel, Stripe, Resend, Twilio, OpenAI, Anthropic, and, where you connect it, Xero). Your use of any optional third-party integration (e.g., connecting your own Stripe or Xero account) may also be subject to that provider's own terms, which you are responsible for reviewing and agreeing to separately. We are not responsible for the acts, omissions, or availability of these third-party providers, though we will make reasonable efforts to select reliable providers and to respond appropriately if one of them affects the Service.
8. Disclaimer of Warranties
Please read this section carefully.
DispatchOS is real, production software that is actively used to run parts of your business — but it is also a young, actively-developed product built and maintained by a small, early-stage team. To the maximum extent permitted by law:
- The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
- We do not guarantee that the Service will be uninterrupted, error-free, or bug-free. As an actively-developed product, features may change, and occasional issues, downtime, or defects can occur. We do not warrant or guarantee a specific uptime percentage under these Terms.
- We do not guarantee that AI-generated drafts (triage summaries, follow-ups, quotes) will always be accurate, appropriate, or complete — this is precisely why the Service requires your human approval before anything is sent to your customers, and you should treat every AI draft as a starting point for your own review, not a finished, verified communication.
- Nothing in this section is intended to exclude, restrict, or modify any consumer guarantee, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law (including under the Competition and Consumer Act 2010 (Cth)), to the extent it applies to your acquisition of the Service. Where a right or remedy cannot be excluded but can be limited, our liability is limited, at our option, to re-supply of the Service or the cost of re-supply.
9. Limitation of Liability
To the maximum extent permitted by law:
- Neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.
- Our total aggregate liability to you arising out of or relating to these Terms or the Service, for any cause whatsoever, will not exceed the total amount you actually paid us for the Service in the 12 months immediately preceding the event giving rise to the claim.
- This limitation applies regardless of the legal theory of liability (contract, tort, negligence, statute, or otherwise), and is subject to the Australian Consumer Law carve-out in Section 8.
10. Indemnification
You agree to indemnify and hold harmless Josh Deniz, trading as DispatchOS, and any officers, employees, and contractors, from and against any claims, damages, losses, and reasonable costs (including legal fees) arising out of: (a) your breach of these Terms; (b) your use of the Service in violation of applicable law; or (c) any communication you approved and caused the Service to send to your customers. This indemnity does not apply to the extent a claim arises from our own breach of these Terms, negligence, or willful misconduct.
11. Term and Termination
These Terms remain in effect for as long as you maintain an account or actively use the Service. Either party may terminate:
- You may cancel at any time via the self-serve billing portal (see Section 3.5).
- We may suspend or terminate your account for a material breach of these Terms (including Section 4, Acceptable Use) that you do not cure within a reasonable period after notice, or immediately in cases of security risk, suspected fraud, or non-payment.
Upon termination, your right to access the Service ends, though we will retain your data for a reasonable period consistent with our Privacy Policy in case you wish to reactivate or request an export, subject to Section 6 of the Privacy Policy on retention and deletion.
12. Privacy
Our collection and handling of personal information — yours and your customers' — is described in our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring your own use of the Service (e.g., what you tell your customers about how their enquiry will be handled) complies with applicable privacy law.
13. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice (such as an email or in-app notice) before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a material change, your remedy is to cancel your subscription before it takes effect.
14. Governing Law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that jurisdiction.
15. General
- Entire agreement — these Terms (together with the Privacy Policy) constitute the entire agreement between you and us regarding the Service, superseding any prior agreements on the subject.
- Severability — if any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- No waiver — our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment — you may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure — neither party is liable for delay or failure caused by events beyond its reasonable control (e.g., a major outage at Vercel, Supabase, Stripe, Resend, Twilio, OpenAI, or Anthropic).
